My experience with gardenias is that they are quite vulnerable to yellowing from iron deficiency. Feeding them a dose of lron Right a couple times a year can eventually make a big difference.
First, it needs some sun. Gardenias are not low light plants. It also appears to be planted a bit deep in the pot. The original plant should be slightly higher than the soil in the new pot. They also want acidic soil. A Google search might help. Good luck.
Everything he said^^^^ You need to pull it up in the pot so that the stems are not covered in soil, immediately, it's choking the plant. Then allow to dry very slightly in between waterings.
I see what appears to be some moisture stress on the leaf tips, How old is it, how long has it been in that pot, what is it's feeding schedule and how long ago did the leaves begin forming at the base of the stems? It still looks savable, but you have to determine whether it is going to be worth the effort. Oh and how long ago did the decline begin, it could be light related also.
